Demerger 2010

Capital & Counties Properties PLC ("Capco") became an independent property company following its Demerger from Liberty International PLC in May 2010. On Demerger, Liberty International PLC changed its name to Capital Shopping Centres Group PLC and in February 2013 changed its name again to Intu Properties plc.

The resolutions necessary to effect the Demerger were approved by Shareholders on 7 April 2010 at an Extraordinary General Meeting ("EGM"). The Demerger became unconditional on 7 May 2010.

Shareholders received one share in Capital & Counties Properties PLC for each ordinary share in Liberty International PLC (now Intu Properties plc) that they held at the time of the Demerger and continued to own their existing Liberty International PLC (now Intu Properties plc) shares. (Note: Shareholders received new share certificates for their Capco shares only.)

Capital & Counties Properties PLC has a premium listing on the Official List, is admitted to trading on the London Stock Exchange and has secondary listings on the JSE.
